Terms And Conditions

1. Your Agreement

Thank you for showing interest in purchasing Q-LINE BIOTECH products. We appreciate our customers, and it is our goal to make your ordering and purchasing experience as simple as possible. If you have any questions about our quotation or ordering process, please do not hesitate to contact us via e-mail or telephone.

With that in mind, listed below are the contract terms and conditions under which we sell our products and offer services. These terms, together with our quotation, comprise the Contract between Q-LINE BIOTECH and the Customer and are intended to govern the purchase and sale of products and services. The Contract is created when we accept your order, either by sending a written confirmation, shipping the Product, or otherwise initiating action to provide what you have ordered.

2. Orders

All orders for products placed by the Customer will be made in writing or, if placed by telephone, will be confirmed in writing within 2 business days after the telephone order.

All orders for products from the Manufacturer are subject to written acceptance by the Manufacturer and will not be binding until confirmed by the Customer.

Last-minute additions of products to orders already placed are allowed within three business days after placing the order. For any additional orders, Q-LINE BIOTECH will re-evaluate the previously established shipment date according to product and shipping availability.

Q-LINE BIOTECH reserves the right to suspend the delivery of further goods if the terms of payment are not strictly adhered to by the Customer.

By placing an order, the Customer accepts the conditions stated herein. Any modification requires the written consent of Q-LINE BIOTECH.

3. Shipments

The goods travel at the Customer’s risk, Ex Works Zagreb, unless otherwise expressly agreed, according to INCOTERMS 2010 through a forwarder selected by the Customer. The delivery note and commercial invoice are attached to the shipment; any other documents must be requested by the Customer in advance.

The dimensions, weight, and cost of shipment, in case the Customer opts for Q-LINE BIOTECH to organize the transport, can only be calculated after the goods have been manufactured and prepared for shipment.

Q-LINE BIOTECH will use reasonable efforts to meet the Customer’s requested shipment schedules for the Products, without making binding promises. The shipment time will be extended in the event of force majeure or by any obstacles that cannot reasonably be influenced by Q-LINE BIOTECH.

4. Payments

Payments should be made in advance by bank transfer. Any changes to the payment conditions must be agreed with Q-LINE BIOTECH and will be reflected on the Invoice.

5. Return Of The Goods

Returns may not be made without prior notice and authorization from Q-LINE BIOTECH. Otherwise, the return will be refused and sent back at the Customer’s expense.

To make a return, please repackage the goods carefully and include the following information:

1. Customer’s name and address.
2. Customer’s telephone number.
3. Original purchase order number.
4. Q-LINE BIOTECH invoice number.

• Items that are ordered in error and returned are subject to a 15% restocking charge.
• Returns are not accepted after 60 days from the date of invoice.
• Shipments should be inspected immediately upon receipt.
• All breakages and discrepancy claims must be reported immediately to the carrier upon receipt. Q-LINE BIOTECH cannot be held responsible for shortages or breakages caused by transportation.
• All goods being returned for credit must be in 100% saleable condition.
• Any transit damage or breakage will be at the Customer’s expense.

6. Limitation Of Liability

Q-LINE BIOTECH shall not be responsible for any loss, damage, delay, or failure to perform its obligations where such loss, damage, delay, or failure results from circumstances beyond its reasonable control.

The Customer is responsible for ensuring that the Products are used, stored, handled, and operated in accordance with the applicable instructions, specifications, and safety requirements.

To the extent permitted by applicable law, Q-LINE BIOTECH shall not be liable for indirect, incidental, consequential, or special damages arising from the purchase, use, storage, or handling of its Products.

7. Warranty

The warranty does not apply to defects caused by use, storage, or handling in an improper or inadequate manner, including failure to follow instructions for use or protocols, operation outside stated environmental conditions or specifications, or operation with unapproved materials or other products.

8. Sales

Ownership of the Products will pass to the Customer only after payment has been completed.

Manufacture and shipment will be carried out after receiving a copy of the payment confirmation via fax or e-mail.

9. Penalty

In case of Customer order cancellation three days after receiving the Q-LINE BIOTECH order confirmation, Q-LINE BIOTECH has the right to require payment of a penalty.

The Customer may place orders for goods intended solely and exclusively for the country where the Customer is established. Any export outside the Customer’s territory must be authorized in writing by Q-LINE BIOTECH in advance. In case of failure to comply with this requirement, a penalty will become immediately due to Q-LINE BIOTECH.

10. Prices

Any necessary increases in prices will be announced by Q-LINE BIOTECH at least one week before the new price becomes effective. Q-LINE BIOTECH will be entitled to adjust prices agreed upon in the event of increases in cost-determining factors, such as fluctuations in exchange rates, raw material costs, labor costs, or government measures, provided that such increases or measures occur after the conclusion of the agreement but before delivery.

11. Catalog

All references and characteristics of the Products listed in the catalog are non-binding and may be changed or renewed without prior notice. A physical copy of the catalog is available free of charge, with the Customer covering the applicable transportation costs.

12. Product Information

Product descriptions, specifications, images, technical information, and other materials provided by Q-LINE BIOTECH are intended for general informational purposes. Q-LINE BIOTECH reserves the right to modify product specifications, characteristics, packaging, or availability without prior notice.

The Customer is responsible for confirming that the selected Products are suitable for the Customer’s intended application and comply with the applicable requirements in the country where they will be used or marketed.

13. Quality And Environmental Management Certificates

Q-LINE BIOTECH maintains appropriate quality and environmental management procedures in accordance with applicable requirements and certifications. Where applicable, these may include ISO 9001, ISO 13485, and ISO 14001 standards.

Q-LINE BIOTECH is obliged to verify, to the extent required by applicable law, that the Products sold in a country conform to the laws and regulations in force in the country where the Products are marketed and sold.

14. Arbitration

Any dispute, controversy, or claim arising out of or relating to the Contract, including its interpretation, performance, breach, termination, or validity, shall first be addressed by the parties through good-faith negotiations.

If the dispute cannot be resolved through negotiation, it shall be submitted to arbitration in accordance with the applicable arbitration rules agreed upon by the parties. The place and applicable rules of arbitration shall be determined in the Contract or otherwise agreed upon in writing by Q-LINE BIOTECH and the Customer.
